What Happens If Companies House Cannot Verify Your Identity?
By Deevan Naveed · October 2026 · 8 min read

Understanding what happens if Companies House cannot verify your identity is important, because the consequences become more serious as the November 2026 deadline approaches. This guide explains the immediate effects and the longer-term implications.
Immediate consequences
If your identity cannot be verified, the immediate effects depend on your situation:
For new directors (appointed since 18 November 2025)
- Your appointment cannot be registered at Companies House until you are verified
- You are not legally recorded as a director, even if you are acting in that capacity
- The company may not be able to file its confirmation statement with your details
For existing directors and PSCs (before November 2026 deadline)
- During the transition period, you can continue in your role while working to complete verification
- However, you must complete verification within your designated 14-day window
- If you miss your window, you should still verify as soon as possible
After November 2026
- Companies House will add a public annotation to the register against your name, visible to anyone searching the company
- You will be unable to be appointed as a new director of any company
- You will be unable to register a new company
- You may be unable to file documents at Companies House
- Continuing to act as a director without verification is a criminal offence under ECCTA
Criminal liability
ECCTA makes it a criminal offence to act as a director of a UK company without having verified your identity after the deadline has passed. This means:
- You could face prosecution
- Penalties may include fines
- Persistent non-compliance may lead to more serious enforcement action
Impact on your company
If directors and PSCs of a company are unverified after the deadline:
- The company’s filing capabilities may be restricted
- Public annotations on the register can affect the company’s reputation
- Business partners, banks and investors may view unverified status as a compliance risk
- The company may face its own penalties for employing unverified directors
