What Happens If a Director Doesn't Complete Identity Verification?
By Deevan Naveed · October 2026 · 7 min read

If a director does not complete Companies House identity verification before the deadline, the consequences are serious - both personally and for the company.
Criminal liability
The most severe consequence: acting as a company director without having completed identity verification after the deadline is a criminal offence under ECCTA. This means continuing to sign documents, make decisions or represent the company could result in prosecution.
Public register notation
Companies House will add a visible annotation to the register against any unverified director. This is public information - anyone searching the company can see it, including banks, investors, partners and potential clients.
Restrictions on the director
- Cannot be appointed to a new directorship
- Cannot register a new company
- Cannot file certain documents at Companies House
Consequences for the company
The company itself is affected if its directors are not verified:
- The company may be unable to file its annual confirmation statement
- The company may be unable to register changes to its officers
- Non-compliance may affect banking relationships, contracts and due diligence checks
Can the company force a director to verify?
The company cannot complete verification on behalf of a director - it is an individual obligation. However, the company can and should make its directors aware of the requirement and the deadline. Many companies are proactively arranging verification for their directors.
