What Happens If You Don't Complete Companies House Verification?
By Deevan Naveed · October 2026 · 7 min read

Failing to complete Companies House verification before the deadline has serious legal and practical consequences. This is not a soft requirement - ECCTA gives Companies House enforcement powers and creates criminal offences for non-compliance.
Public register notation
After the deadline, Companies House will add a public annotation to the register against anyone who has not been verified. This is visible to anyone searching the company - banks, lenders, investors, customers, partners and competitors can all see it.
A notation against your name signals non-compliance and can raise due diligence concerns for anyone dealing with the company.
Restrictions on appointments and filings
Unverified individuals will face practical restrictions:
- You cannot be appointed as a new director
- You cannot register a new company
- You cannot file certain documents, including confirmation statements
- Your company may be unable to complete routine compliance filings
These restrictions do not just affect you personally - they can paralyse the company’s operations.
Criminal liability for directors
The most severe consequence is criminal liability. Under ECCTA, continuing to act as a company director after the verification deadline without having been verified is a criminal offence. This could result in a fine or, in serious cases, other penalties.
This applies to active participation in the company’s affairs - signing documents, making decisions, representing the company - not merely remaining on the register.
Consequences for PSCs
PSCs who do not provide their personal code within their 14-day window may commit an offence. Companies House may also restrict the exercise of rights attached to the PSC’s shares or voting rights. The exact consequences depend on the circumstances.
Impact on the company
Companies with unverified directors or PSCs face their own problems:
- Inability to file confirmation statements on time
- Inability to register changes (new directors, share transfers)
- Visible non-compliance on the public register
- Potential difficulties with banking, lending and commercial contracts
How to avoid these consequences
The answer is straightforward: complete your identity verification before the deadline. Companies House ID Verification provides a guided process for £19 per person, with most verifications completed on the same day.
